The Legislative Decree 231/01 introduced the administrative responsibility of the companies for a series of violations committed in their interest or advantage by individuals who are functionally related to them. The Decree establishes the applicability of the following actions against companies: administrative sanctions, financial penalties, disqualification sanctions, confiscation or publication of the sentence, which may have serious repercussions on the carrying out of social activities.
The guidelines contained in the Legislative Decree 231/01 exclude the administrative liability of the Company in case this adopts and effectively implements an Organization, Management and Control Model suitable to prevent the commission of violations; this task has to be entrusted to a Vigilance Committee, who should monitor its functioning and the individual’s compliance with its rules. To this aim, Lamitex S.p.a.’s Board of Directors, after having analysed the whole company’s organizational structure and its internal audit system, has decided to adopt its own Organization, Management and Control Model, which is binding for all those who, for various reasons, have business relationships with the Company; in addition, as provided for by the Decree, the Company has established the Vigilance Committee with a monitoring function on the aforementioned Model.
The adoption of the Organizational Model and the establishment of the Vigilance Committee, responds to Lamitex S.p.A.’s need to always keep improving itself, so as to implement its own structured and suitable protocol to prevent the risk of any possible irregularity during the execution of the different activities; this will limit the risk of committing violations and ensure the correctness and transparency of the business.
The main interest of Lamitex S.p.A. is that all those who have business relationships with the Company carry out their activities and tasks in compliance with the principles and values contained in the Code of Ethics.
